1. ACCEPTANCE OF TERMS

By accessing or using Silver Penned (“we,” “our,” “Company”), including our boutique AI systems, strategy sessions, or implementation offerings, you agree to be legally bound by these Terms of Use. Continued use of our services implies your acceptance. If you disagree, do not use our websites or engage our services.

2. WHO WE SERVE

Silver Penned offers situationally aware AI systems and consulting services for professionals operating in high-trust environments:

  • Wellness Professionals (e.g. therapists, psychologists, coaches)

  • Executive Consultants

  • Entrepreneurs

By using our services, you confirm you are acting in a professional capacity and are responsible for compliance with local laws, industry regulations, and ethical standards.

3. INTELLECTUAL PROPERTY & LICENSE OF USE

All GPT systems, prompts, workflows, strategic models, and AI-generated materials created by or accessed through Silver Penned are intellectual property of Zing & Moxie Pty Ltd.

You may:

  • Use purchased materials within your personal practice or business for client-facing or internal purposes.

You may not:

  • Copy, resell, sublicense, or publicly distribute our materials.

  • Reverse-engineer or clone any Silver Penned GPT system.

  • Use our frameworks to build competing tools or content libraries.

Violation may result in legal action or account termination.

4. AI-ENABLED FEATURES & RESPONSIBILITIES

All Silver Penned GPTs, including Systemizer, CRA, Rebel IP, and Custom Builds, are intended to accelerate professional clarity—not replace your expertise.

By using our AI Allies or booking a Fractional CAI engagement, you agree that:

  • You are responsible for editing, verifying, and ethically applying any AI-generated output.

  • You will not use Silver Penned tools for diagnostic, legal, or financial advice purposes without appropriate professional review.

  • Compliance remains your responsibility, especially in regulated fields (e.g., health, finance, education).

5. FRACTIONAL CAI + IMPLEMENTATION TERMS

Silver Penned offers Fractional CAI (Chief AI Implementation) services and guided Audit + Implementation packages.

By engaging these services, you acknowledge:

  • All strategic plans are tailored to your inputs and intended for use within your business or organization.

  • Implementation support includes draft SOPs and governance-aligned systems but does not constitute legal advice.

  • You are responsible for final decisions around tool adoption, compliance, and staff usage.

  • Silver Penned may subcontract certified professionals to assist with delivery as needed.

6. PAYMENTS, BOOKINGS & CANCELLATION

  • All services are priced in USD unless otherwise stated.

  • Audit and Implementation services are payable in advance or per milestones, as agreed in writing.

  • Booked services are non-refundable but may be rescheduled with 5+ business days’ notice.

  • Late or missed sessions (without notice) may result in forfeited time or additional charges.

You are responsible for maintaining an active payment method and securing copies of deliverables before project close.

7. NO-REFUND POLICY

Due to the nature of our offerings (digital access, strategic consulting, proprietary frameworks), all purchases are final.

8. THIRD-PARTY TOOLS & PLATFORMS

Silver Penned integrates with tools like Notion, ChatGPT, Zapier, Google Drive, and others. We are not liable for performance, terms, or privacy policies of these third-party services.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Zing & Moxie Pty Ltd and its contractors are not liable for:

  • Indirect or consequential damages from use of our platforms or services

  • Errors, omissions, or regulatory issues arising from AI-generated content

  • Outcomes from implementation of strategic advice

Use of Silver Penned systems is at your own discretion and risk.

10. INDEMNIFICATION

You agree to indemnify and hold harmless Silver Penned and its affiliates from any claims, liabilities, or disputes arising from your use of our services, including third-party claims tied to content, deliverables, or compliance breaches.

11. GOVERNING LAW

These Terms are governed by the laws of Victoria, Australia. Any legal disputes will be resolved in Victorian courts.

12. MODIFICATIONS TO TERMS

Silver Penned reserves the right to update these terms at any time. Any changes will be posted on this page with an updated “Effective Date.” Continued use of our services confirms your acceptance of the latest version.
